1. Agreement to these Terms
Webbify is a trade name used by Jeffery Eckert, an individual sole proprietor doing business as webbify.build, with a business address at Solara Lane, Vista, California 92081, in the San Diego metropolitan area, United States (referred to in these documents as "Webbify," "we," "us," or "our"). Webbify is not a corporation, limited liability company, or partnership.
ATTORNEY REVIEW RECOMMENDED: These documents describe Webbify's current commercial and privacy practices as of the effective date shown on this page. They are not legal advice. A qualified attorney should review them before you rely on them for compliance, contract negotiation, or regulatory purposes. Webbify does not warrant that these terms satisfy every legal requirement that may apply to your business, industry, or location.
By creating an Account, paying a Build Fee or Monthly Service Fee, clicking to accept, or using the Services, you agree to this Agreement. If you do not agree, do not use the Services.
If you accept on behalf of a business, you represent that you have authority to bind that business. The business is the Customer and you are personally responsible if that representation is false.
2. Definitions
Capitalized terms have the meanings in the Definitions list above or in the section where they first appear. Singular includes plural and vice versa.
3. Eligibility
You must be at least eighteen years old and able to form a binding contract. The Services are offered to businesses; you must provide accurate business and billing information.
We may refuse or close an Account if we reasonably believe you cannot meet these requirements or if your use poses legal, security, or reputational risk to us or other customers.
4. Description of Services
Webbify provides done-for-you website services for businesses. We design and build a Client Site based on information you provide, then—while your Subscription is active and paid—we run the site for you: hosting, DNS configuration on our infrastructure, security updates, automations you enable, and rapid response support when your live site fails.
This is a managed service, not a self-serve website builder. You do not receive source-code ownership of our platform; you receive a live, professionally built site that we operate on your behalf. You retain ownership of Content you supply, as described in Section 7.
Build work begins after the Build Fee clears and typically targets delivery within about four weeks from kickoff. Dates depend on your timely provision of Content, feedback, and approvals. Before launch we may publish a Preview Site so you can review progress.
The Services are not legal, medical, financial, or professional advice. We do not guarantee search rankings, revenue, or specific business outcomes.
5. Fees, billing, and taxes
Build Fee: charged once at checkout for the plan you select (for example, $500 for Starter or $1,000 for Growth, or a custom quote for multi-location work). Monthly Service Fee: $50 per month (unless we disclose a different price before you pay), composed of $30 for automations and $20 for rapid response support and maintenance. The Monthly Service Fee is a single required charge while your Client Site stays live and cannot be split or waived while the site remains published under our hosting.
Promotional Codes: we may offer limited-time discount codes at checkout. For example, the code WEBBIFY100 reduces an eligible Build Fee by one hundred dollars ($100) when applied at checkout before the code expires or reaches its use limit. A Promotional Code cannot be combined with other offers unless we say so, applies only to the Build Fee (not the Monthly Service Fee), and has no cash value. We may revoke or change a code before you complete checkout.
You may prepay multiple months; each paid month extends your paid-through date. If payment is more than ten days late, automations and rapid response support pause until the balance is current. Your Client Site may remain online for up to thirty days after a missed renewal; after that we may take it offline until payment resumes or the Agreement ends.
Prices exclude taxes unless stated. You are responsible for applicable sales, use, VAT, or similar taxes except on our net income. We use Stripe, Inc. ("Stripe") to process card payments; Stripe's terms and privacy notice also apply to payment method handling. Webbify does not store full card numbers.
6. Domain names — registration, ownership, and transfer
This Section governs every Domain connected to your Client Site. If another section appears to conflict, this Section controls for Domain questions.
(a) Your own Domain (you are Registrant of Record). If you already own a Domain or register it directly in your name with a third-party registrar, you remain the Registrant of Record. You grant us permission to configure DNS and hosting while the Subscription is active. You must keep registrar login credentials current and renew the Domain with your registrar. If your Subscription ends, we will remove our hosting and DNS configuration within a reasonable time. You must point the Domain elsewhere or let it expire; we do not become the owner of your Domain.
(b) Domain we register or manage for you. If you ask us to register a new Domain or we list ourselves or our agent as administrative or technical contact, you are still the beneficial owner of that Domain for your business use. We register Domains only to provide the Services. The Registrant of Record will be listed as you or your business when registrar policy allows; otherwise we disclose the actual Registrant of Record in your Dashboard billing area.
(c) While Subscription is active. We renew Domains we manage only if your Account is current and you have authorized renewal charges (including any registrar pass-through fee). Domain renewal fees are separate from the Monthly Service Fee unless your plan explicitly states otherwise at checkout.
(d) After cancellation or non-payment. When your Subscription ends: (i) we stop renewing any Domain we manage on your behalf; (ii) within thirty days we provide instructions and any registrar auth codes we lawfully control to transfer the Domain to you or a registrar you designate, if your Account has no unpaid fees; (iii) if you do not complete transfer within sixty days, the Domain may expire or revert according to registrar policy—we are not liable for loss caused by your delay; (iv) we never sell your Domain to third parties.
(e) Disputes. If a third party claims rights to your Domain, you must resolve the dispute with the registrar. We may suspend DNS changes until ownership is clear. We are not a domain dispute resolution provider.
(f) No permanent license. Nothing in this Agreement transfers ownership of a Domain to us. Our rights are limited to providing the Services and the administrative access you authorize during the Term.
7. Your Content and license to us
You retain ownership of Content you supply. You grant us a non-exclusive, worldwide license to host, copy, display, and modify Content as needed to operate your Client Site, provide the Automated Features you enable, and comply with law. The license ends when Content is deleted from our systems after termination, except for backups retained under Section 14 and legal/tax records.
You represent that you have all rights needed for Content and that it does not infringe others' rights or violate law. You are responsible for claims arising from Content you provide or approve.
8. Our intellectual property
We own the Services, our templates, software, documentation, and branding (including the webbify.build mark). You receive a limited license to use the Dashboard and your delivered Client Site during the Term. You may not reverse engineer our platform, resell the Services, or remove our required attribution where present in your plan.
9. Automated Features and automations
Automated Features may draft content, publish content, or send messages according to settings you choose. You are responsible for reviewing outbound communications before they send if you enable review steps, and for all messages sent under your Account regardless of automation level.
We may throttle or disable an Automated Feature that violates Acceptable Use or threatens deliverability for other customers. We do not publish proprietary operational details in this Agreement.
10. Acceptable use
You will not use the Services for illegal activity, spam, malware, harassment, or messaging people who opted out. You will not present our work as medical, legal, or financial advice. You will not attempt unauthorized access to our systems or other customers' Accounts.
We may suspend or terminate immediately for material breach, including conduct that harms our sending reputation or exposes us to liability.
11. Service availability and support
We monitor Client Sites and target same-business-day response to emergency failures on weekdays. We do not publish a binding uptime percentage. Scheduled maintenance and third-party outages (registrars, Stripe, email providers) are outside our control.
Support channels: email hello@webbify.build, billing@webbify.build for payment questions, and Voice or SMS at (619) 786-0989 through our Google Voice number. You may text or call that number for service issues. We do not schedule sales calls or require phone meetings to purchase or maintain the Services; checkout and the Dashboard are self-serve, and support is for existing customers and good-faith inquiries.
Rapid response covers restoring a broken live site; it does not include new features, redesigns, or content updates unless separately agreed.
12. Warranties and disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Services will be uninterrupted, error-free, or that Agents will produce accurate or lawful output without your review.
13. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THIS AGREEMENT IN ANY TWELVE-MONTH PERIOD IS LIMITED TO THE FEES YOU PAID US IN THAT PERIOD.
WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS, REVENUE, DATA, OR GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY.
Some jurisdictions do not allow certain limits; in those cases our liability is limited to the greatest extent permitted by law.
14. Indemnification
You will defend, indemnify, and hold harmless Jeffery Eckert d/b/a webbify.build from claims, damages, and expenses (including reasonable attorneys' fees) arising from your Content, your use of the Services, your violation of this Agreement, or your violation of others' rights.
15. Term, suspension, and termination
The Term begins when you accept this Agreement and continues until cancelled. You may cancel the Subscription at any time from the Dashboard; cancellation takes effect at the end of the period already paid for.
We may suspend or terminate if you breach this Agreement, fail to pay, or if continued service poses risk. We will give notice when practical unless immediate action is required for security or legal reasons.
16. Effect of termination
When the Agreement ends: (a) your access to the Dashboard for live management may end or move to read-only export windows we announce; (b) we will take the Client Site offline after any grace period described in Section 5; (c) Domain treatment follows Section 6; (d) we delete or anonymize Content within ninety days except where law requires longer retention or you request earlier deletion subject to verification; (e) Sections that by nature should survive (fees owed, IP, disclaimers, liability limits, indemnity, dispute resolution, and Definitions) survive termination.
You may request an export of your Content within thirty days after termination by emailing legal@webbify.build from your Account email.
17. Dispute resolution and arbitration
Before filing a claim, you agree to email legal@webbify.build and allow thirty days to resolve informally.
Except for small-claims court matters or injunctive relief for IP misuse, any dispute arising out of this Agreement will be resolved by binding individual arbitration administered by JAMS under its Streamlined Arbitration Rules, held in San Diego County, California, or by videoconference if JAMS allows. CLASS ACTION AND JURY TRIAL WAIVER: disputes must be brought individually, not as a plaintiff or class member in any class or representative proceeding.
If an arbitrator or court finds the class waiver unenforceable for a particular claim, that claim may proceed in court but only on an individual basis unless applicable law requires otherwise.
18. Governing law and venue
This Agreement is governed by the laws of the State of California, excluding conflict-of-law rules that would apply another state's laws. For matters not subject to arbitration, the exclusive venue is the state or federal courts located in San Diego County, California, and you consent to personal jurisdiction there.
19. Changes to these Terms
We may update this Agreement when we change Services, pricing, or legal requirements. We will email the address on your Account at least thirty days before material changes to fees or terms take effect. Continued use after the effective date constitutes acceptance. If you disagree, cancel before the effective date.
The current version date appears at the top of this page and in the Dashboard terms prompt.
20. General
Entire agreement: this Agreement supersedes prior discussions about the same subject. Severability: if any provision is unenforceable, the rest remains in effect. No waiver unless in writing. You may not assign this Agreement without our consent; we may assign to a successor in connection with a merger or sale of the business. Notices to you may be sent to your Account email; notices to us at legal@webbify.build.
Force majeure: we are not liable for delay caused by events beyond reasonable control (natural disasters, war, registrar failures, widespread outages).

22. Orders, statements of work, and priority
A checkout confirmation, written proposal, or statement of work is an Order only when it identifies the selected plan, material deliverables, price, and any agreed exception to these Terms. If an Order conflicts with these Terms, the Order controls only for the conflict and only if signed or expressly accepted by Webbify.
This provision is part of the commercial allocation of responsibility between you and Webbify. It applies to the Services as they are actually purchased and used, including reasonable work that is necessary to provide, secure, maintain, support, or wind down those Services. It does not grant either party rights in the other party's property beyond the limited rights expressly stated in these Terms or an applicable Order. Each party will act in good faith and use reasonable care in carrying out the responsibilities assigned to it, but neither party becomes responsible for facts, decisions, materials, systems, or legal duties that remain within the other party's reasonable control. If a practical issue arises, the parties should promptly communicate the relevant facts so that a proportionate solution can be evaluated before a disruption becomes more serious.
You are responsible for decisions made for your business, for the people you authorize to use the Account, and for the accuracy and lawfulness of instructions and materials you give us. That responsibility includes reviewing work at reasonable milestones, promptly identifying an error that a reasonable customer would notice, and not directing us to take action that would breach law, third-party terms, or another person's rights. Where your instruction is incomplete or inconsistent, we may ask a clarifying question, make a reasonable operational assumption, pause the affected work, or decline the instruction. A pause or correction caused by those circumstances is not a breach by Webbify and does not create an entitlement to a refund, credit, or accelerated delivery absent a separate written agreement.
23. Project kickoff and discovery
Kickoff begins when we confirm payment and the information reasonably needed to start has been supplied. Discovery may include questions about your business, audience, brand, services, preferred pages, contact details, existing site, and launch priorities.
This provision is part of the commercial allocation of responsibility between you and Webbify. It applies to the Services as they are actually purchased and used, including reasonable work that is necessary to provide, secure, maintain, support, or wind down those Services. 24. Customer representatives and approvals
You must identify a representative authorized to provide instructions and approvals. We may rely on instructions sent from the Account email, Dashboard, or another channel that we reasonably believe the representative controls until you tell us in writing that authority has changed.
This provision is part of the commercial allocation of responsibility between you and Webbify. 25. Content deadlines and project pauses
You must provide requested Content, factual corrections, and approvals by the dates we reasonably communicate. A delay caused by missing, incomplete, unlawful, or contradictory Customer materials extends the schedule by the delay and may require a restart or revised delivery date.
This provision is part of the commercial allocation of responsibility between you and Webbify. 26. Revisions and change requests
The selected plan includes the revision process described at checkout or in an applicable Order. A request outside that scope—including a new page, new integration, material change of direction, new brand system, or functionality not previously described—may require a separate quote and schedule.

27. Factual accuracy and regulated claims
You are solely responsible for the accuracy, substantiation, permissions, required disclosures, and legal compliance of claims about your business, products, prices, availability, qualifications, endorsements, promotions, or results. We may ask for evidence or decline to publish a claim that appears unsupported or risky.

28. Reviews, testimonials, and endorsements
You may provide reviews, testimonials, ratings, case studies, before-and-after material, or endorsements only if you have the rights and consents needed to use them and any required disclosure is included. You must not ask us to create, alter, suppress, or publish deceptive feedback.

29. Intellectual-property notices and complaints
If you believe material on a Client Site infringes your copyright, trademark, privacy, or other rights, send a sufficiently detailed notice to legal@webbify.build. We may remove, disable, preserve, or forward material and information as reasonably necessary to investigate, comply with law, or protect affected parties.

30. Open-source, stock, and third-party materials
A Client Site may include materials licensed from third parties, including fonts, photographs, icons, libraries, plugins, embeds, maps, or payment and booking tools. Those materials remain subject to their applicable licenses, usage limits, attribution rules, and provider terms.

31. Customer systems and credentials
If you give us access to a domain registrar, hosting account, social account, analytics account, payment account, email account, or other Customer system, you authorize access only to perform the requested Services. You must use appropriate permissions and promptly revoke or update access when a representative leaves your organization.

32. Domain DNS and email configuration
DNS, email authentication, redirects, certificates, and related records can affect web, email, and other services. Before we make a requested change, you are responsible for telling us about systems that depend on the relevant records and for approving a planned change where we request approval.

The parties are independent contractors. Nothing creates an employment relationship, partnership, joint venture, fiduciary relationship, franchise, agency, or authority for either party to bind the other, except for the limited authority you expressly give us to administer a Customer system for the Services.
54. Assignment and subcontractors
You may not assign or transfer this Agreement, an Account, or a material right or obligation without our written consent, except in connection with a bona fide transfer of your business if the successor agrees in writing to these Terms. We may use qualified service providers and subcontractors and remain responsible for our obligations under this Agreement.

55. Notices and electronic communications
You consent to receive agreements, notices, disclosures, invoices, and other communications electronically at the Account email, through the Dashboard, or by posting to the Services where law permits. Notices to Webbify must be sent to legal@webbify.build; a notice is not effective merely because it was sent through an unrelated social or support channel.

56. No reliance and independent advice
You acknowledge that business, legal, tax, privacy, accessibility, employment, advertising, regulated-industry, and intellectual-property obligations vary by context. You will obtain advice from qualified professionals for matters that require it and will not rely on Webbify for advice outside the specific Services stated in an Order.

57. Export controls and sanctions
You represent that you are not prohibited from using the Services under applicable export-control, sanctions, or trade laws and will not use the Services in a prohibited country, for a prohibited end use, or for a prohibited person or organization. We may restrict access as necessary to comply with those laws.

58. Consumer rights and non-waivable law
Nothing in these Terms is intended to exclude, restrict, or waive a right or remedy that cannot lawfully be excluded, restricted, or waived. Where a mandatory law applies, these Terms are interpreted to give effect to that law while otherwise remaining enforceable to the fullest extent permitted.

59. Interpretation and headings
Headings, examples, and summaries are for convenience and do not limit the meaning of a provision. The words including, includes, and for example are illustrative and not limiting. An ambiguity will not be construed against a party merely because that party drafted or proposed the language.

60. Survival, cumulative remedies, and waiver
Rights and remedies under these Terms are cumulative unless law requires otherwise. A waiver must be in writing and applies only to the specific instance stated. Provisions that reasonably should continue after termination—including payment, confidentiality, ownership, limitations, indemnity, disputes, and data-retention obligations—survive termination.

61. Contact, complaints, and effective version
Questions, complaints, and notices about these Terms may be sent to legal@webbify.build or called in to (619) 786-0989. The effective date at the top of the published Terms identifies the version offered for acceptance; please save a copy for your records before placing an Order or enabling a paid Service.

62. Preview Sites and thirty-day takedown
We may publish a Preview Site so you can review design, copy, or functionality before you pay a Build Fee or before a custom Domain is connected. A Preview Site is hosted on infrastructure we control, may use a temporary subdomain or staging URL, and is not a production launch. If you do not purchase the Services or complete checkout within thirty (30) days after we first publish a Preview Site—or within thirty (30) days after we notify you that a Preview Site is ready for review—we may take the Preview Site offline, delete its staging files, and reclaim the temporary URL. We will give reasonable notice when practical before takedown. Preview Sites are provided as-is for evaluation only; they are not covered by uptime commitments, rapid response SLAs, or the Monthly Service Fee until you become a paying Customer.

63. Custom Domain purchase and transfer after checkout
If your plan includes a custom Domain registered or managed through Webbify as part of your purchase, the Domain remains yours for business use as described in Section 6. After you pay the Build Fee and any disclosed Domain fees, and once the Client Site is live or ready for launch, we will provide transfer instructions, authorization codes, and registrar contact updates needed for you to become or remain Registrant of Record with the Domain Registrar, subject to registrar rules and any unpaid balances on your Account. Webbify does not operate a domain registrar; transfer timing depends on the registrar's systems and your timely response. This Section describes policy only and does not implement registrar transactions in the Dashboard.

64. How Webbify runs your live Client Site
While your Subscription is active, we operate hosting, TLS certificates, DNS records we manage, caching, security filtering, backups intended for recovery, and the automations you enable. You authorize us to apply updates, patches, and configuration changes needed to keep the Client Site secure and online. You may not move the live site to third-party hosting without ending the Subscription and following Section 6 for Domains. Export of Content is available as described in Section 16.

65. Marketing communications and unsubscribe
If you subscribe to occasional product notes or marketing email from webbify.build, each message includes an unsubscribe link or instructions. You may also email hello@webbify.build with "unsubscribe" in the subject. Marketing messages are separate from transactional email about your Account, billing, security, or legal notices, which may continue as necessary. We do not sell your email address to list brokers.

66. San Diego operations and governing contacts
Webbify is operated from the San Diego, California area. Business mail may be sent to the Vista address listed in Section 21. Public updates may appear on webbify.build or our X account @webbify_. Official legal and billing notices should use the email addresses in Section 21 rather than social media direct messages.
